1. General

The following Terms of Service (“Terms”) govern your use of the Memto Live Picture frame apps, e-shop and services including your use and access to all related web sites, networks, software, mobile applications and other services provided by Memto (“Service”). The Service is operated by GOXD Technology Limited. These Terms apply to all personal users, business users, visitors, or any others who use and access the Service (collectively, “Users”).

Please read this terms of use agreement (the "Terms") carefully. By using any of the Service provided or operated by Memto, you signify that you have read, understood and agreed to be bound by these Terms, including all Memto policies that apply to your use of the Service. If you are agreeing to these Terms for use by an organization or company, you are agreeing to these terms on behalf of that organization (in such a case, the terms “you” and “your”, as used in these Terms, shall apply to both you and your organization).

2. Registration

You are required to register with us when you use the services or place an order. For purposes of the Terms, a "Registered User" is a User who has registered an account through the Application ("Account"). By registering you are making a statement, you agree to provide true, accurate, current and complete information about yourself when filling out our registration form. You agree to maintain and promptly update your registration information to keep it true, accurate, current and complete. You must safeguard your username and password. You authorize us to assume that any person using the site with your username and password is either you or is authorized to act for you. If we have reasonable grounds to suspect that any information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your registration.

3. Content

All of the licensed content is owned by either GOXD or its content suppliers. All rights not expressly granted in this agreement are reserved by GOXD and the content suppliers. You may not assert any right to revenue from a collecting society in respect of photocopying, digital copying or other secondary uses of the licensed content. You may use the name of GOXD and/or its content suppliers as necessary to give attribution, but you may not otherwise use their names, logos, or trademarks without prior written approval.

4. Privacy Protection

We take privacy issues seriously. Our privacy policy covers our use of any information you provide. In using our services, you agree that we may collect, store, and use information about you in accordance with our privacy policy. You acknowledge and agree to be bound by the terms of our privacy policy. Please refer to our Privacy Policy.

5. Limitation of Liability

To the extent permitted by law, we exclude all liability (whether arising in contract, tort or otherwise and whether or not due to our negligence) which we may otherwise have to you as a result of:

5.1 any technical, factual, textual or typographical inaccuracies, errors or omissions on or relating to our site (including using our applications or software) or any information on our site;

5.2 the unavailability of our site (or any part of it), merchandise or services;

5.3 any delay in providing, or failure to provide or make available, merchandise or services, or any negligent provision of merchandise or services;

5.4 any merchandise not being of merchantable quality or fit for their intended purpose; or

5.5 any misrepresentation on or relating to our site, the merchandise or the services.

5.6 Any lost profits, punitive, special, indirect, consequential, incidental or other similar damages, costs or losses arising out of this agreement, even if GOXD has been advised of the possibility of such damages, costs or losses.

6. Linked websites

Certain links, including hypertext links, in our site will take you outside our site. Links are provided for your convenience and inclusion of any link does not imply endorsement or approval by us of the linked site, its operator or its content. We are not responsible for the content of any website outside our site.

7. Termination

We may terminate your access to our site or registration immediately if you are in breach of any of these terms and conditions. Any rights that have accrued to either party at the date of termination will remain enforceable after termination.

8. Promotion code

Promotion code or coupon offered by us shall only be applicable for one-off purchase at our site subject to special terms and conditions. Promotion code or coupon is neither refundable nor redeemable for cash. Any unused amount will be forfeited.

We reserve the right to terminate or vary the above offers. In the event of any dispute, our decision shall be final and conclusive.

These terms and conditions form the integral part of the General Terms and Conditions.
